2. Scope
These Terms apply to all offers, orders, sales, and services unless expressly agreed otherwise in writing. They apply to business (B2B) customers; where a consumer (B2C) places an order, mandatory consumer-protection provisions of Belgian law and Book VI of the Code of Economic Law apply in addition.
3. Offers and prices
- Prices are expressed in euro (EUR) and are exclusive of VAT unless stated otherwise. Applicable VAT is added at checkout according to the customer's status and country.
- Quotations and RFQ responses are valid for the period stated therein, or 30 days if no period is specified.
- We reserve the right to correct manifest errors in pricing or product descriptions.
4. Orders and formation of contract
A contract is formed when we confirm your order. We may refuse or cancel an order in cases of stock unavailability, suspected fraud, pricing error, or where required by law.
5. Payment
- We accept card payments (via Stripe), iDEAL/Bancontact (via Mollie), and bank transfer, as offered at checkout.
- For bank transfer, goods are reserved and dispatched only after receipt of full payment, using the order number as the payment reference.
- Ownership of goods passes to the Customer only upon full payment (retention of title). Risk passes upon delivery.
- Late payment on B2B invoices incurs interest and compensation in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.
6. Delivery
Delivery times are indicative. We are not liable for delays caused by third-party carriers or events beyond our reasonable control. Incoterms, where agreed (e.g. EXW, DAP), govern the allocation of transport costs and risk.
7. Repair, calibration and on-site services
- Repair and on-site requests are handled as traceable cases with a unique case ID. Diagnosis may precede a firm quotation.
- Where a repair is found not to be economically viable or feasible, we will inform you; diagnostic or handling fees may apply as communicated.
- Units sent for repair must be adequately packaged; we are not responsible for transit damage to inbound units.
- The Customer is responsible for backing up any data/configuration prior to sending a device; we are not liable for loss of parameters or data unless data recovery was expressly ordered.
8. Warranty
Warranty terms are set out in our Warranty & Returns policy, which forms part of these Terms.
9. Right of withdrawal (consumers)
Consumers within the EU have a 14-day right of withdrawal on distance purchases of goods, subject to legal exceptions (e.g. custom-configured or clearly personalised items, and services fully performed with the consumer's prior consent). See Returns & Refunds for the procedure. This right does not apply to B2B purchases.
10. Liability
- Our liability is limited, to the extent permitted by law, to the invoiced value of the goods or services concerned.
- We are not liable for indirect or consequential damages, including loss of production, profit, or data, except in cases of fraud, wilful misconduct, or gross negligence.
- Nothing in these Terms excludes liability that cannot be excluded under Belgian law.
11. Force majeure
We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including supply shortages, transport disruption, strikes, or governmental measures.
12. Governing law and jurisdiction
These Terms are governed by Belgian law. Any dispute shall be submitted to the courts competent for [COURT_DISTRICT], without prejudice to mandatory consumer jurisdiction rules. The European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.
